Financial advisor for the first PPP project in Latvia, Ķekava ABT (joint company of TIIC, ACB and Binders)
The project included the management of the negotiation process with the state owned company “Latvijas Valsts
Ceļi” (Latvian State Roads) as well as the establishing of a joint stock company (Ķekava ABT) of road constructors
for the execution of the PPP project. The biggest part of the work involved the structuring of
financing from the European Investment Bank and the Nordic Investment Bank in a syndicate loan exceeding 100 million EUR.
We acted as buy side financial advisor to a private person in acquiring of 96.3% shares of JSC Smiltenes Piens
one of the largest milk processing companies in Latvia. The deal involved intense negotiations with the sell side on
pricing and other covenants as well as securing a mezzanine fund loan for the transaction.
The financing source was a mezzanine type instrument with the lender being a private equity fund from Estonia “BPM Mezzanine Fund”..
We acted as a financial advisor to the management of Kinetics Nail Systems on several financial transactions
such as
a 100% share buy-out (MBO) and Kinetics trademark buy-out from their USA partner. As a result, we executed a refinancing from the client’s
current bank to another bank and attracted new financing for acquisition of shares, which was supported by an ALTUM guarantee.
We acted as a sell side deal financial advisor to AS Energoeco in the sale of 70% of shares of Energia Verde SIA.
The transaction included designing the sell-side process, preparing informational teaser materials for potential buyers,
working with a large-scale European level buyers and investors list, approaching them, preparing valuation analysis, coordinating
the due diligence process with selected bidders, assessing strategic and
tactical alternatives and negotiating the final transaction, as well as help with documentation.
